Expert Confidentiality Agreement (NDA)

For purposes of this Agreement, "Proprietary Information" means all confidential, non-public, and proprietary data, documents, and materials disclosed to or accessed by you through the Research Expedite platform in your capacity as a registered and approved Subject Matter Expert / Reviewer.

This includes, but is not limited to:

• Target startup pitch decks, investor presentations, and fundraising materials.
• Product whitepapers, technical architecture documents, and R&D blueprints.
• Financial statements, revenue projections, cap tables, and valuation analyses.
• Secure source code repositories, API documentation, and proprietary algorithm descriptions.
• User-submitted queries, consulting thread content, and any client-identifying information.
• Internal Research Expedite analytics, matching algorithms, and expert-ranking methodologies.

Proprietary Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) was rightfully in your possession prior to disclosure; or (c) is independently developed by you without use of or reference to Proprietary Information.

Confidentiality Covenant

As a registered and approved Subject Matter Expert / Reviewer for Research Expedite, you are granted access to highly sensitive, unreleased corporate intellectual property, including but not limited to target startup pitch decks, product whitepapers, financial statements, and secure source code repositories. You expressly covenant and agree to maintain absolute confidentiality.

You shall not disclose, replicate, exploit, share, or download any transaction or user submission data with any third party. This prohibition extends to verbal disclosures, electronic transmissions, physical copies, screenshots, photographs, and any other form of reproduction or dissemination.

You agree to use Proprietary Information solely for the purpose of performing your expert review and validation duties for Research Expedite. Any use of such information for personal gain, competitive advantage, or independent commercial activity is strictly prohibited and constitutes a material breach of this Agreement.

You shall implement reasonable physical, technical, and administrative safeguards to protect Proprietary Information from unauthorized access, including secure device management, strong authentication practices, and avoidance of public networks when accessing confidential materials.

This Agreement becomes effective on the date you are approved as a Subject Matter Expert and shall remain in force for the entire duration of your active engagement with Research Expedite, plus a survival period of five (5) years following termination of your expert status for any reason.

The obligations of confidentiality and non-use shall survive indefinitely with respect to any trade secrets contained within the Proprietary Information, in accordance with applicable trade secret law.

Breach of this covenant triggers immediate termination from the IJSRP Inc. reviewer database and leaves the expert directly liable to both Research Expedite and the affected Client for unlimited injunctive relief and financial damages.

The parties acknowledge that a breach of this Agreement would result in irreparable harm for which monetary damages would be inadequate. Therefore, Research Expedite and affected Clients shall be entitled to seek equitable relief, including temporary restraining orders, preliminary injunctions, and permanent injunctions, in addition to any other remedies available at law or in equity.

In the event of a breach, the breaching expert shall indemnify and hold harmless IJSRP Inc., Research Expedite, and the affected Client from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to such breach.
